Quokka Hub – Terms of Service

Effective Date: October 5, 2025

1. Who We Are

Quokka Hub is a U.S. based company providing digital tools, HR consulting, and organizational retreats designed to improve workplace culture. Our Services are accessible globally, but your relationship with us is governed by these Terms.

2. Eligibility and Acceptance

2.1 Age and Capacity: You must be at least 18 years old.

2.2 Acceptance: By using the Services, you agree to these Terms and our Privacy Policy.

2.3 Business Use: If using on behalf of an entity, you represent that you are authorized to bind that entity.

3. Access and Use of Services

3.1 License: We grant a limited, non-exclusive license to use our digital tools.

3.2 Restrictions: You agree not to use the Services unlawfully, reverse engineer software, or use automated scrapers.

3.3 In-Person Services (Retreats & Workshops): For physical events, Quokka Hub acts as a facilitator. You acknowledge that participation is voluntary. We reserve the right to remove any participant who violates safety policies or acts disruptively.

3.4 Beta Features: Experimental features are provided "as-is" for evaluation.

4. Accounts and Security

4.1 Accuracy: You must provide accurate account information.

4.2 Security: You are responsible for safeguarding your credentials. Notify support@quokkahub.com of breaches.

5. Intellectual Property

5.1 Ownership: All intellectual property in the Services belongs to Quokka Hub.

5.2 User Content: You own your employee survey responses but grant us a license to use aggregated, anonymized data (see Section 6.5).

5.3 AI-Generated Output: Insights from our AI are suggestions only and should not be relied upon as professional or legal advice.

6. Data Protection and Privacy

6.1 Compliance: We comply with GDPR, UK DPA, PIPEDA, and the Australian Privacy Act.

6.4 Survey Data: Responses are processed in aggregated form. You are responsible for informing employees of data collection.

6.5 Benchmarking: You grant us the right to use anonymized data for industry reports and to improve our AI models. Individual identities will never be disclosed.

7. Payments and Cancellations

7.1 Fees: All fees will be communicated before purchase.

7.2 Consulting & Retreats: Bespoke services (consulting/retreats) may be subject to a separate Statement of Work (SOW). Cancellations for retreats may incur non-refundable deposit fees to cover third-party vendor costs (hotels, catering, etc.).

8. Disclaimers (The "Consulting" Shield)

8.1 No Legal or Professional Advice: Quokka Hub provides HR insights and assessments (including DISC) for developmental and informational purposes only. We do not provide legal, tax, or certified HR compliance advice. You should consult with legal counsel before taking any adverse employment actions (e.g., terminations) based on our Services.

8.2 "As-Is": Services are provided without warranties of any kind.

8.3 Third-Party Vendors: For retreats, we are not responsible for the acts, errors, or omissions of third-party vendors (e.g., hotels, transportation, or activity providers).

9. Limitation of Liability

To the fullest extent permitted by law:

9.1 Damages: Quokka Hub is not liable for indirect, incidental, or punitive damages.

9.2 Cap: Our total liability for digital services is capped at the greater of $100 or the amount paid in the last 12 months.

9.3 Physical Risk: For in-person retreats, participants assume all risks associated with travel and physical activity. Quokka Hub is not liable for personal injury or property damage occurring at third-party venues.

10. Indemnification

You agree to indemnify Quokka Hub against claims arising from your misuse of the Services, breach of these Terms, or any employment-related claims brought by your employees against us resulting from your use of our consulting advice.

11. Suspension and Termination

We may suspend access if you breach these Terms or if required by law.

12. Governing Law

These Terms are governed by the laws of the State of Delaware. International users may have mandatory rights under local consumer laws.
